Under the terms of the Transaction, DMG, through its U.S. subsidiary ('DMG-US'), will acquire Blockseer for a purchase price comprising C$2,630,769 in cash and up to 7,673,076 common shares of DMG (the 'Transaction Shares') with a maximum transaction value of C$16,000,000. The number of Transaction Shares to be issued will be based on the 15-day volume weighted average trading price of DMG's shares on the TSX Venture Exchange following the closing of the Transaction.
The Transaction Shares issued to the former Blockseer securities holders will be subject to vesting with such shares vesting ratably on a calendar quarterly basis over a two-year period following the Closing (the 'Trading Restrictions').

Following the Transaction DMG-US will own 100% of Blockseer, with DMG-US shares being owned approximately 61% by DMG and approximately 39% by the selling securityholders of Blockseer.
Upon completion of the Trading Restrictions each individual holder of the DMG-US shall have the option to exchange of such shares at the election of the holder 1-for-1 for DMG common shares which will be fully tradable subject to the regulations of the TSX Venture Exchange., Additionally, in the event that upon completion of the Trading Restrictions the per share price of DMG's common shares is greater than C$0.40 (as adjusted for stock splits and consolidations), then DMG, at its sole election, shall have the option to exchange all of the shares of DMG-US held by the former security holders of Blockseer 1-for-1 for common shares of DMG, which will be fully tradable shares in accordance with the policies of the TSX Venture Exchange.
In connection with the Transaction, Danny Yang has been appointed as the Chief Technology Officer of DMG and Sheldon Bennett has been appointed as the Chief Operating Officer and will also remain as a director of DMG. Additionally, all of the Blockseer developers, including Mr. Yang, have agreed to enter into new employment agreements.

Rachel Lefkowitz
Rachel earned a Bachelors Degree in Photography from the Art Institute of Boston in 2004. While photography is her first love, she decided to pursue other avenues while looking for a career. After bouncing around the Publishing industry for 9 years, Rachel was given an opportunity to join DMG in 2014, and has never looked back. In addition to photography, Rachel loves music, Halloween, adventures, laughing, and most of all, her dog, Loki.
Deborah Evans
Deborah Evans began working in the music publishing business in 1998 for Beebe Bourne at Bourne Co. representing a prestigious catalogue of standards such as 'Me and My Shadow,' 'Here's That Rainy Day,' 'Unforgettable,' and 'When You Wish Upon a Star.' She later joined the staff of The Harry Fox Agency for several years, working in both the synchronization and the mechanical licensing departments. In 2002, she moved to Helene Blue Musique Ltd. as Director of Copyright and Licensing, managing all areas of copyright, licensing, and royalties for the company. Deborah later took on the responsibilities of Director of Publishing for Stray Dog Music, a Brooklyn-based company handling a growing and diverse catalogue of indie-rock, alt-country, rock-a-billy, jazz, pop, and hip-hop. She is now an independent music publisher of her own, having started Della Music Publishing LLC in August 2007, and represents Latin dance, R&B, and hip hop artists such as Vein, Redman, and Faith Evans. Born and raised in Los Angeles California, Nicolle got her first start working on various music videos, films and popular sitcoms such as Brandy's Moesha while attending Hamilton High performing arts academy. After graduation, Nicolle continued her education at California State University Northridge earning her Bachelors Degree in Communications, Cinema & Television. She landed her first career position in music publishing in 2005 with Universal Music Publishing Group. She gained a great deal of experience and knowledge assisting in various departments such as A&R, Royalties and ultimately accepting a permanent role within the Film & TV music clearance department as Coordinator, Music Clearance. In 2014, Nicolle started her new position at Warner Chappell Music as Manager, Synch Licensing, negotiating and licensing music clearance for very high profile writers and artists under the Warner catalog. Nicolle's duration at UMPG and Warner was an unforgettable experience. Working on projects for Viacom Networks, Sony Pictures, NBC Universal, BET, Disney, Intl. commercials, various Films and TV productions. She frequented music awards, live tapings, concerts and met many talented artists along the way. After 13 years of working with two of the largest music publishers, Nicolle and her family took a leap of faith and moved across the country to South Florida. Music Clearance Consultant - Nicole Passon
Nicole Passon began her journey at DMG Clearances, Inc in November 2014 and is tremendously grateful for the incredible opportunity that she has encountered here! She has previously worked independently in the Wellness and Fitness Industry for over 17 years, the last several of which she has used as a catalyst to support her true passion, which is serving others through the power and beauty of music. Nicole manages two outstanding recording artists who have been working together for years creating a sound quality as well as a lyrical content that is foundationally unique and universally inspiring. Intern - Dani Friedman
Dani is so excited to have joined the DMG Clearances team in the summer of 2019. She is currently in her second year as a Music Business student at New York University, where she is a board member of the program and helps to keep it as one of the best in the country. She is also a member of the NYU Program Board, which organizes events and concerts on campus for the students and community. When she isn't working at DMG, Dani loves going to concerts, booking shows around the New York City area, and spending time with her friends. She hopes that she can use her experience at DMG to really figure out what she wants to do in the music industry.
Intern - Victor Ogbuehi
Victor joined the DMG Clearances team at the end of 2018. In 2017 he graduated from Rutgers University, with a major in criminal justice and a minor in political science, before being accepted to Widener University Law School that same year. In his free time Victor enjoys writing poetry, boxing, and listening to music. He is the treasurer of his school's Intellectual Property Society as well as a general body member of the Black Law Student Association. Victor plans to use the skills he gains during his time at DMG Clearances to become a successful lawyer in entertainment law and Intellectual property.
Intern - Reinier Smit
Reinier joined staff in the Summer of 2018 and enjoys coming into work every day! He spends his free time with friends hiking, going to concerts and relaxing. Reinier is in his final year at Delaware Law School and recently became staff editor on Law Review. He is the president of the Intellectual Property Society on campus and organizes several events on campus. Before law school, he graduated from Temple University in 2016 with a B.S. in mechanical engineering and a concentration in bio-engineering. In 2018, while working as a research consultant, Reinier filed a patent application with the USPTO and was listed as a co-inventor. He hopes to use all the experience at DMG Clearances to further increase his credentials and become a successful intellectual property lawyer.
DMG Canine Department
Peyton, Dakota, Kramer, Lexi, and Loki are our loyal companions, whose responsibilities include sleeping, barking at neighbors, getting belly rubs, and receiving treats. The beagles are particularly good at sniffing and monitoring the perimeters of the property to make sure there are no breaches, while Peyton and Dakota excel at snatching anything unattended on our desks - especially lunches and electronic devices, and Loki takes her job as a bird-chaser extremely seriously. DMG would be a lot less adorable without them.
Deb's dog Charlie prefers to eat used Kleenex rather than food and for fun he frolics on the Mississippi River levee. Deb just frolics around Nola with her husband Joe and daughter Gianna when not working hard for DMG or playing her harpsichord.
